1. Definitions
In these Terms and Conditions:
- "Agreement" means these Terms and Conditions together with any engagement letter or service agreement signed by the parties.
- "We / Us / Our" refers to Lanna Forge, operating from 142 Ratchadaphisek Road, Din Daeng, Bangkok 10400, Thailand.
- "Service" means any consulting service offered by Lanna Forge, including Market Entry Assessment, Organizational Design Workshop, and Executive Growth Partnership.
- "User / Client" means any individual or organization accessing this website or engaging Lanna Forge's services.
- "Content" means all materials, reports, documentation, and deliverables produced by Lanna Forge under an engagement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are acting on behalf of an organization, you confirm that you have authority to bind that organization.
Our services are available to individuals and organizations aged 18 years and above with legal capacity to enter into a binding agreement.
3. Service Description
Lanna Forge provides strategic business consulting services as described on our website and in individual service agreements. Services are available primarily to organizations operating in or entering the Thai and Southeast Asian market. Geographic restrictions may apply; please contact us to confirm availability for your specific situation.
Service availability is subject to consultant capacity. We will communicate any availability constraints before confirming an engagement.
4. Engagement Terms
Scope and Agreement
All consulting engagements are governed by a written engagement letter agreed by both parties before work commences. The engagement letter defines the scope, deliverables, timeline, and fee for the specific service.
Scope Changes
Any changes to the agreed scope must be discussed and confirmed in writing by both parties. Additional fees may apply for scope extensions, and these will be communicated and agreed before additional work begins.
Client Obligations
Clients agree to provide accurate and complete information relevant to the engagement, make appropriate personnel available for sessions or interviews, and review and respond to deliverables within agreed timeframes.
5. User Responsibilities
When accessing this website or using our services, you agree not to:
- Submit false or misleading information via any form or communication
- Attempt to gain unauthorized access to our systems or data
- Use our website or services for any unlawful purpose
- Reproduce, distribute, or commercially exploit any content from this website without written permission
6. Intellectual Property
All content on this website — including text, design, and branding — is owned by Lanna Forge and protected by Thai and international intellectual property law. You may not reproduce or use any part of this website commercially without our prior written consent.
Deliverables produced under a consulting engagement (reports, org charts, documentation) are provided for the exclusive use of the commissioning client. Clients may not share or distribute these materials to third parties without our written agreement, except internally within the client organization.
7. Payment Terms
Fees for each service are set out in the engagement letter. Payment is due as follows unless otherwise agreed in writing:
- Market Entry Assessment: 50% on engagement confirmation, 50% on delivery of final report
- Organizational Design Workshop: invoiced in full prior to the first session
- Executive Growth Partnership: invoiced at the start of each six-month term
All fees are denominated in Thai Baht (THB). Payment may be made by bank transfer to the account details provided in the engagement letter.
Refund Policy
In the event that Lanna Forge is unable to deliver a service due to circumstances within our control, a proportionate refund will be offered. Refunds are not available for services already delivered, or where cancellation occurs less than five business days before scheduled sessions without documented cause.
8. Confidentiality
Both parties agree to keep confidential all non-public information exchanged during an engagement. A mutual non-disclosure agreement is executed before any substantive discussion. Confidentiality obligations survive the end of the engagement for a period of five years.
9. Disclaimers
Lanna Forge provides consulting advice based on the information available and the expertise of our consultants. All advice is provided in good faith and based on our professional judgment. We do not make any warranties regarding specific commercial outcomes, financial results, or decisions made by the client on the basis of our recommendations.
This website is provided "as is." We make reasonable efforts to ensure it is accurate and up to date but do not warrant that it will always be available, error-free, or free from technical issues.
10. Limitation of Liability
To the fullest extent permitted by law, Lanna Forge's total liability to any client in connection with a consulting engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.
We shall not be liable for indirect, incidental, or consequential losses, including lost profits or business opportunities, arising from engagement with our services or use of our website.
11. Indemnification
You agree to indemnify and hold Lanna Forge harmless from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of the website in violation of applicable law, or false or misleading information you provide to us.
12. Termination
Either party may terminate a consulting engagement by providing written notice. Where a client terminates an engagement, fees for work completed up to the termination date remain payable. We reserve the right to terminate an engagement where a client materially breaches these Terms or the applicable engagement letter.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising under these Terms or in connection with our services will first be subject to good-faith informal resolution. Where informal resolution fails, disputes shall be referred to the courts of Bangkok, Thailand.
14. General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the full agreement between the parties on the relevant subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision of these Terms at any time does not constitute a waiver of our rights to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our written consent.
15. Changes to These Terms
We may update these Terms periodically. Material changes will be communicated via email to clients with active engagements. The current version will always be published on this page with the date of last update. Continued engagement with our services following an update constitutes acceptance of the revised Terms.
